Salary Range: $134,970 - $155,631

Position Summary:

The General Counsel will oversee and manage the organization's compliance and regulatory activities. This role involves advising senior management on legal matters and ensuring Race Forward complies with various regulations. The General Counsel will also manage nonprofit governance issues and assist in contract negotiations, financial filings, and risk management.

Key Responsibilities:

1. Compliance Oversight:

• Advise senior management on nonprofit corporate, tax, intellectual property, employment law, and more.
• Ensure organizational compliance with relevant laws and regulations, such as lobbying and charitable solicitations.
• Advise on Board governance documents, prepare materials for meetings, and assist in managing board committees.

1. Contracting Oversight:

• Draft, review, and negotiate contracts such as grant, funding, and program agreements.
• Ensure contracts with partners, vendors, and collaborators comply with organizational policies.

1. Risk Management and Senior Leadership Team Advising:

• Provide guidance on risk management practices, including liability and insurance matters.
• Participate in strategic planning and provide day-to-day legal guidance.

Knowledge, Skills, and Abilities:

• Excellent verbal and written communication skills.
• Strong analytical and critical thinking skills.
• Proficient in Microsoft Office Suite or related software.
• Ability to interpret and apply laws, guidelines, regulations, and policies.

Qualifications and Experience:

• Juris Doctorate (JD) and 3-5 years of experience in nonprofit contracts, risk management, or compliance roles.
• Experience in nonprofit governance and working with c4 organizations and union engagement.
• Strong knowledge of nonprofit law and tax regulations for tax-exempt organizations.
• Ability to communicate complex legal matters to a lay audience effectively.
• Supervisory experience preferred.

• Physical Requirements: Prolonged periods of sitting and working on a computer. Must be able to lift 15 pounds occasionally.
